Algemene voorwaarden

English version below

Terms and conditions

These terms apply to business customers of Shelv. Shelv is registered with the Dutch Chamber of Commerce (KvK) under number 74056336, VAT ID NL002206321B54. Contact: info@shelv.nl. This is a translation; if the Dutch and English texts differ, the Dutch text prevails.

1. Definitions

  1. Shelv: the business that provides services under the name Shelv, KvK 74056336.
  2. Customer: the business, or the person acting in the course of a trade or profession, that engages Shelv.
  3. Service: anything Shelv does for the customer, such as scans, reports, fixing product data, writing product copy and monthly checks.
  4. In writing: includes email.

2. When these terms apply

  1. These terms apply to all quotes, assignments and agreements between Shelv and the customer.
  2. Shelv only works for business customers. These terms are not intended for consumers.
  3. The customer's purchasing or other terms do not apply unless Shelv agrees to them in writing.
  4. Deviations from these terms only apply if agreed in writing.

3. Quote and assignment

  1. A quote is valid for 30 days unless it states otherwise.
  2. The assignment starts as soon as the customer accepts the quote in writing or pays the invoice.
  3. Work not included in the quote is additional work. Shelv only carries out additional work after the customer has agreed to the price in writing.

4. Performance

  1. Shelv performs the service carefully and to the best of its ability. Shelv commits to an effort, not to a specific result.
  2. The customer provides the access and information Shelv needs in good time. If not, Shelv may adjust the schedule.
  3. Delivery dates are estimates, not strict deadlines.
  4. Shelv may use third-party tools and services, such as hosting and AI software, to perform the service.

5. No guarantee of AI recommendations

  1. Shelv helps the customer make product pages easier for search engines and AI assistants to read. These assistants belong to other companies, such as OpenAI, Google and Perplexity, which decide for themselves what they show.
  2. Shelv therefore does not guarantee that any AI assistant or search engine will show or recommend the customer's products, nor any position, number of visitors or revenue.
  3. A score or report reflects the situation at the time of the scan. Pages and the way AI assistants work can change afterwards.

6. Access to the store

  1. If Shelv makes changes in the store, the customer provides a separate account with as few permissions as possible. The customer does not share their own password.
  2. The customer makes a backup of the store before Shelv makes changes.
  3. Shelv only changes what was agreed. The customer remains responsible for the store, its theme, apps or plugins, and its content.
  4. The customer can revoke access once the assignment is finished.

7. Prices and payment

  1. All prices are in euros and exclude VAT unless stated otherwise.
  2. The customer pays within 14 days of the invoice date.
  3. If the customer pays late, Shelv first sends a reminder with a new 14-day term. If payment is still not made, the customer owes the statutory commercial interest and reasonable collection costs.
  4. Shelv may suspend work while a due invoice remains unpaid.
  5. Shelv may change the price of a subscription with at least 30 days' notice. The customer may then cancel as of the date the new price takes effect.

8. Subscriptions

  1. A subscription, such as Starter or Growth, runs per month and renews for one month at a time.
  2. Either party can cancel a subscription in writing as of the end of the current month.
  3. A paid month is not refunded, even if the customer cancels part-way through.

9. Complaints

  1. The customer reports a complaint about a service in writing within 14 days of delivery, with a clear description.
  2. If the complaint is justified, Shelv fixes the work at no extra cost. If fixing it no longer makes sense, Shelv refunds the amount for that part of the work.
  3. A complaint does not entitle the customer to withhold payment of other invoices.

10. Liability

  1. Shelv is only liable for direct damage resulting from an attributable failure in performing the assignment.
  2. Liability per event is limited to the amount the customer paid for the assignment concerned. For a subscription, this is the amount paid over the last 3 months.
  3. Shelv is not liable for indirect damage, such as lost revenue or profit, consequential damage, or damage from loss of data.
  4. Shelv is not liable for damage caused by incorrect or incomplete information from the customer, a missing backup, or changes made by the customer or third parties.
  5. These limitations do not apply if the damage was caused by intent or deliberate recklessness on Shelv's part.
  6. The customer reports damage in writing within 30 days of discovering it.

11. Intellectual property

  1. The scanner, software, methods and report design remain Shelv's property.
  2. Once paid in full, the customer may freely use and adapt copy and code that Shelv created specifically for them, for their own business.
  3. Shelv may use scan results without the customer's name to improve the service and for general statistics.
  4. Shelv only names the customer as a reference with their permission.

12. Confidentiality

Both parties keep the other's confidential information secret, such as login details, revenue figures and non-public plans. This continues after the assignment ends.

13. Personal data

  1. In principle, Shelv does not need access to personal data of the customer's own customers to provide the service.
  2. If Shelv does process personal data on the customer's behalf, the parties sign a data processing agreement beforehand.
  3. How Shelv itself handles personal data is described in the privacy statement.

14. Force majeure

Shelv is not liable if it cannot meet an obligation due to force majeure, including an outage at a supplier, such as hosting, or at an AI platform. If force majeure lasts longer than 60 days, either party may end the assignment in writing.

15. Ending the assignment

  1. If a party fails to meet its obligations, the other may end the assignment after giving a reasonable period to put it right.
  2. The customer pays proportionally for work Shelv has already done.

16. Changes to these terms

Shelv may change these terms. For running subscriptions, Shelv gives at least 30 days' notice; the customer may cancel before the change takes effect.

17. Governing law

  1. Dutch law applies to all agreements with Shelv.
  2. Disputes are submitted to the competent court in the district where Shelv is established.
  3. If the Dutch and English texts differ, the Dutch text prevails.
